Partnership Agreement
This agreement establishes the terms of your participation as a benefit partner in the Biohacking Las Vegas member network. Tap any section to expand it.
By signing this agreement, Partner becomes part of the Biohacking Las Vegas (BHLV) member benefits network. In exchange for offering the discounts and benefits described below, you receive:
- Featured placement on our member benefits page at biohackinglasvegas.com
- Inclusion in the BHLV member app, where members can discover and access your business
- Active monthly promotion to our growing member network of biohacking enthusiasts in Las Vegas
- Cross-promotion with other partners at events, in newsletters, and on social
- Eligibility for monthly partner spotlights in member communications
- Access to BHLV-hosted community events at our partner rate
- One complimentary BHLV membership for the owner — because we want owners experiencing the other businesses in the network — plus up to two staff memberships at 50% off, in consideration of the member discounts you offer above
These are the discounts and benefits members will receive when they show their BHLV membership at your business. Review and edit any field below if needed — your signed version is what we'll honor once approved.
Tip: keep promotions short and clear (e.g. "20% off per visit" + terms like "Once per month"). After you sign, John reviews your final terms before publishing your listing — so you'll never go live with something unexpected.
Term: This agreement is effective from the date both parties sign, and runs for twelve (12) months unless ended sooner per this section.
Renewal: The agreement auto-renews for successive 12-month terms unless either party gives written notice at least thirty (30) days before the current term ends.
Ending early: Either party may end this agreement at any time with thirty (30) days' written notice (email to JohnXD@biohackinglasvegas.com is sufficient). No refund of partnership fees is due for the current term.
Immediate termination: BHLV may end this agreement immediately if Partner: (a) fails to honor agreed-upon member promotions; (b) acts in a way that materially harms the BHLV brand or its members; (c) closes the business; (d) is more than 30 days late on payment.
To keep the member experience consistent, discount and promotion changes are limited to once per calendar quarter.
If you'd like to adjust your member benefits (e.g. seasonal promo, new service offering), email JohnXD@biohackinglasvegas.com with the requested changes. We'll update your partner record and notify members within 48 hours.
Outside of the quarterly window, only price corrections or fixes to errors are accepted.
By joining the network, Partner agrees to:
- Honor the member promotions described in this agreement consistently and without friction
- Treat BHLV members with the same professionalism and care you'd give any paying customer
- Verify membership before applying the discount (members will show their BHLV app)
- Communicate any scheduling, pricing, or service changes to BHLV within 7 days
- Not solicit BHLV members to leave the BHLV network in favor of a direct relationship
- Maintain valid business licensure and insurance as required for your line of work
Independent contractors. The parties are independent businesses. Nothing here creates an employer/employee, joint venture, or partnership relationship between BHLV and Partner.
Service quality. Partner is solely responsible for the products and services it provides to members. BHLV does not warrant or endorse the quality, safety, or efficacy of any partner's offerings.
Indemnification. Each party agrees to indemnify and hold the other harmless from claims arising out of its own actions, negligence, or breach of this agreement.
Limitation of liability. Neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages. Each party's total liability under this agreement is limited to the partnership fee paid in the preceding 12 months.
Confidentiality. Member contact information and BHLV business data shared with Partner is confidential and may not be used for outside marketing or shared with third parties.
Governing law. This agreement is governed by the laws of the State of Nevada. Any disputes will be resolved in the courts of Clark County, Nevada.
Entire agreement. This document is the complete agreement between the parties on this subject and supersedes any prior discussions or representations. Any changes must be in writing and signed by both parties.
Electronic signature. By typing your name and clicking the sign button below, you agree under the federal E-SIGN Act and Nevada UETA that this is your legal electronic signature, with the same force as a handwritten one.
